Standard Report
For and in consideration of the Services to be rendered in connection with the Report, Client shall pay RuralScout the base contract sum for each completed, delivered report.
Add-On & Custom Services
Services beyond basic capturing and report generation/delivery shall be specified via consultation. RuralScout shall also be paid in full for any different or additional Services requested and authorized by Client in excess of those stated in this Agreement. Without incurring any liability to Client, RuralScout may suspend or terminate this Agreement, and in either case withhold any and all deliverables or Documents, if Client fails to pay any undisputed invoiced amounts within 15 calendar days of the date of invoice, or if Client states its intention not to pay forthcoming invoices.
The client, at its sole cost and expense, shall furnish RuralScout with the necessary right-of-entry to perform the Services contemplated by this Agreement. If Client is not the owner of the Report Location, but is obligated to the owner or to some other party dealing with the owner for the services which are the subject of this Agreement, Client accepts legal responsibility and liability for the granting of access to the property and permission to take measurements and photographs. RuralScout may request documents which confirm legal access.
Some areas are harder to get to than others! Depending on location, reports are delivered in 3 to 10 business days (in most cases within 5). Price includes up to 90 minutes of driving. Properties requiring more than 90 minutes driving time are assessed an additional $50 fee.
RuralScout shall perform the following services (“Services”):
(1) Property visit
(2) Multimedia capture
(3) Report writing
(4) Report publishing
The aforesaid Services at the above-described location shall be referred to as the “Report” and do not apply to add-on or separately, custom-developed services not addressed in this order form.
In some areas, weather conditions make it almost impossible to guarantee both quality AND speed. RuralScout reserves the right to defer the date of delivery or payment or to cancel the Contract or reduce the quantity of Goods ordered if it is prevented from or delayed in the carrying on of its business due to circumstances beyond the reasonable control of RuralScouts Inc, including acts of God and/or other emergencies.
The content media contained in each RuralScout™ Report shall be presented utilizing the best available angles, lighting, audio and other conditional inputs. RuralScout™ makes no claims nor offers any service described as "cinematic" or "real estate marketing" videos or images. Please refer to an example report for an example of film and photo quality.
In connection with the Services provided by RuralScout, RuralScout may deliver one or more digital reports, multimedia files, or other documents (collectively “Files”)
reflective of the Services provided and the results thereof. Any Documents provided to Client by RuralScout in connection with the Project are intended for the sole and exclusive use of the Client, its agents and assigns.
Documents provided to Client in electronic format are for the convenience of the parties hereto, and any conclusion or information obtained or derived from such electronic Documents will be at Client’s or other user’s sole risk.
All digitally published Files, originated by RuralScout in the course of its performance of the Services set forth in this Agreement, shall be fully transferred to the client upon completion of payment and satisfactory delivery. Client may, at any time, forbid the listing or referential use of Client's Files by RuralScout. Client shall, to the fullest extent permitted by law, indemnify and hold harmless RuralScout from and against any action, claim, damage (including defense costs), or loss arising out of or in connection
with Client’s assignment to a third party, re-use, modification, or misuse of Files delivered after the successful completion of services delivered on behalf of the Client.
Surveyor shall maintain at its own expense the following insurance:
(1) Worker’s Compensation Insurance;
(2) Independent Contractor's Liability Insurance
(3) Commercial Automobile Liability Insurance
(4) Professional Liability Insurance
Certificates of insurance shall be issued by RuralScout™ upon Client’s request.
